What areas does Tüpraş operate in?
Since the merger of İpraş and three other refineries under Tüpraş in 1983, the Company has been working to ensure that Turkey has a reliable fuel supply. Tüpraş operates various sectors, including logistics through Körfez Transportation and DİTAŞ, electricity generation through Entek, crude oil and petroleum products trading through Tüpraş Trading, fuel storage and sales through OPET, and new energy technologies through Tüpraş Ventures.
What is Tüpraş’s shareholding structure?
Tüpraş is owned 46.4 percent by Enerji Yatırımları A.Ş., 6.35 percent by Koç Holding, and 0.48 percent by Koç family members. The remaining shares are publicly held. You can learn more by visiting the Corporate Governance page.
When did Tüpraş go public?
Tüpraş shares were first listed on the Istanbul Stock Exchange (BIST) in 1991 at a rate of 2.5 percent. By the end of 1999, the rate of Tüpraş shares traded on the stock exchange increased to 3.58 percent. In April 2000, with the completion of the second public offering, the free float rate reached 34.24 percent. On March 4, 2005, 14.76 percent of Tüpraş shares were sold to international funds on the ISE Wholesale Market, increasing the free float rate to 49 percent. Additionally, in the same year, the Koç-Shell joint venture group won the tender for the block sale of 51 percent of the public shares.
Enerji Yatırımları A.Ş., a company controlled by Koc Holding A.Ş, Koç Family and their affiliated companies was founded in 2005 for the purposes of acquiring 51 percent of Tüpraş’s shares investing in and operating oil refineries and related businesses in Turkey, and taking part in the management and decision-making process of Tüpraş. In line with its founding purpose, Enerji Yatırımları A.Ş. won the tender held on September 12, 2005, for the privatization of 51 percent of Tüpraş’s public shares, acquiring them for $4.14 billion. The share transfer agreement was signed in January 2006, solidifying the 51 percent ownership in Tüpraş.
In 2022, through a partial division of shares held by Koç Holding A.Ş. and Aygaz A.Ş., Entek Elektrik Üretim A.Ş. acquired 99.23 percent of Entek shares, the public disclosure became 46.8 percent. Tüpraş issued additional shares in exchange for this transaction.

What is Tüpraş’s dividend policy?
Dividends are distributed based on the principles of Corporate Governance, and we strive to maintain consistency and balance between shareholders and the Company’s interests. As a principle, the Company’s distributable net profit for the period is calculated in compliance with Capital Markets Regulations, taking into account factors such as market expectations, long-term company strategy, investment and financing policies, profitability and cash position. The entire distributable net profit is distributed in cash to the extent allowed by applicable regulations, investment needs, and company resources.
In accordance with the Strategic Transformation Plan announced in November 2021, our new business model allows an average dividend payment rate of 80 percent throughout the plan period.

How will I receive my dividend?
Dividend Distribution Proposal is received by the Board of Directors and disclosed to the public with the announcement of the Ordinary General Assembly agenda at the latest. After the Board’s dividend distribution proposal is approved by the General Assembly, the amount will be paid to your account on the specified date.
What is the Strategic Transformation Plan? How will it affect Tüpraş?
The strategic transformation plan was initiated in 2021 with the goal of producing the energy of the future. The plan focuses on investing in sustainable refining, biofuels, zero-carbon electricity, and green hydrogen, with the ultimate objective of becoming a carbon-neutral energy company by 2050. As a result of these breakthroughs, Tüpraş aims to evolve from a refining company into an energy company while still fulfilling Turkey’s growing energy demand.
